Terms of Service

1. Acceptance of Terms

By accessing or using OmniDesk (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

OmniDesk is a multi-store commerce operations platform that enables sellers to manage orders, inventory, pricing, and operations across multiple marketplace stores from a single workspace. The Service connects to third-party marketplace platforms via their authorized APIs.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You must be at least 18 years old and have the legal authority to bind the business entity you represent.

4. Pricing and Payment

The OmniDesk platform subscription is free. A one-time implementation fee applies and is customized based on your business requirements. Implementation fees are non-refundable once services have been rendered.

We reserve the right to modify pricing with 30 days' advance notice. Free-tier users will not be retroactively charged for features they previously accessed.

5. Your Data

You retain ownership of all data you submit to the Service, including order data, inventory information, and product listings. We process this data solely to provide the Service.

You grant us a limited license to process your data as necessary to operate the Service, including synchronizing with connected marketplace platforms.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, spam, or harmful content
• Exceed rate limits or abuse marketplace API connections

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by OmniDesk and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service.

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability shall not exceed the implementation fees you have paid to us in the twelve (12) months preceding the claim.

9. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms, with or without prior notice.

Upon termination, your data will be retained for 30 days to allow export, after which it will be permanently deleted.

10. Governing Law

These Terms are governed by the laws of the Republic of Indonesia. Any disputes shall be resolved in the competent courts of Jakarta, Indonesia.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.
